Scope and subject matter of the contract
- These General Terms and Conditions (hereinafter "GTC") apply to the use of the online platform "VentureGrid" of VentureGrid Ltd (hereinafter "VentureGrid" or "Provider").
- VentureGrid offers an online platform for trading emissions certificates. Companies can use the platform to sell or buy their emission rights in order to offset their CO2 emissions and improve their carbon footprint.
- By registering on VentureGrid, the user accepts these GTC.
Registration and use of the platform
- Registration is required to use the platform. Registration takes place by entering the required data and confirming the GTC.
- The user is obliged to provide his data truthfully and completely. Changes must be updated immediately in the user account.
- The use of the platform is only permitted within the framework of the statutory provisions and these GTC. The user undertakes not to misuse the platform and not to publish any content that violates applicable law or these GTC.
- VentureGrid reserves the right to delete or block user accounts without giving reasons, in particular in the event of violations of these GTC.
Conclusion of contracts and processing of transactions
- By placing offers on the platform, the user submits a binding offer to conclude a transaction.
- A contract between users is only concluded when the offer is accepted by the other user.
- Transactions are conducted directly between the users. VentureGrid is not responsible for the fulfillment of obligations arising from the concluded contracts.
- VentureGrid reserves the right to review and, if necessary, cancel transactions of users if they violate applicable law or these GTC.
Prices and terms of payment
- The prices for the emission certificates are based on the current market value. VentureGrid reserves the right to change the prices at any time and without prior notice.
- Payment is made by purchasing emission allowances on the C-Gate platform. Payment is made using one of the payment methods offered on the platform.
Limitation of liability
- VentureGrid is only liable to the user for intent and gross negligence.
- In the event of slight negligence, VentureGrid is only liable in the event of a breach of a material contractual obligation (cardinal obligation). A cardinal obligation is an obligation whose fulfillment makes the proper execution of the contract possible in the first place and on whose compliance the user may rely.
- Liability for damages arising from injury to life, limb or health and under the Product Liability Act remains unaffected.
- The limitations of liability also apply in favor of VentureGrid's employees, representatives and vicarious agents.
Data protection
- VentureGrid collects, processes and uses the user's personal data only in accordance with data protection regulations, in particular the EU General Data Protection Regulation (GDPR).
- The personal data collected serves exclusively to fulfill the contractual relationship between VentureGrid and the user and to ensure the smooth use of the platform.
- The user has the right to request information about their stored personal data at any time and to have it corrected or deleted if necessary.
Final provisions
- Amendments or additions to these GTC must be made in writing.
- Should individual provisions of these GTC be or become invalid or unenforceable, this shall not affect the validity of the remaining provisions. The invalid or unenforceable provision shall be replaced by a provision that comes closest to the purpose of the invalid or unenforceable provision.
- The law of England and Wales shall apply. The place of jurisdiction is London if the user is a merchant or has no general place of jurisdiction in Germany.
